About Champion – Corporate Information

Building upon its long history as a leader in the manufactured housing industry, Champion began a new chapter when it was acquired in March of 2010. The new owners have recapitalized the company and positioned Champion for long-term growth. As a result of this support, we now boast one of the strongest balance sheets in the industry, and are using this strength to reinvest in each of the important markets that we serve.

Champion is privately held with three majority owners including Centerbridge Partners, L.P., MAK Capital Fund LP, and Sankaty Advisors, LLC. This highly regarded ownership group has forged an alliance to continue to support the company and drive Champion forward to the next level.

Board of Managers

Good corporate governance remains a priority at Champion, and we’ve been able to attract a highly skilled and motivated Board of Managers to oversee and help to direct the company’s activities.

Timothy J. Bernlohr, Chairman Mr. Bernlohr is the founder and managing member of TJB Management Consulting, LLC, which specializes in providing project specific consulting services to businesses in transformation, including restructurings, interim executive management, and strategic planning services. Mr. Bernlohr is the former President and Chief Executive Officer of RBX Industries, Inc. Prior to joining RBX® in 1997, Mr. Bernlohr spent 16 years in the International and Industry Products division of Armstrong World Industries, where he served in a variety of management positions. Mr. Bernlohr also serves as chairman of the board of directors of The Manischewitz Company and Cuisine Innovations®. He is also a director of Atlas Air Worldwide Holdings, Inc., Aveos Fleet Performance, Inc., Smurfit Stone Container Corporation, Bally Total Fitness Corporation, Hayes Lemmerz International, Inc., Hilite International, Ambassador’s International, Inc., and Aventine Renewable Energy, Inc. Mr. Bernlohr is a 1981 graduate of The Pennsylvania State University.

Allen M. Capsuto, Audit Committee Chair Mr. Capsuto has more than 30 years of national and international experience with a diversified background in general management, finance, mergers, acquisitions and divestitures, administrations, operations, and IT systems. Mr. Capsuto’s executive and management career included Magnatrax Corporation, Federal Express, Outsourcing Solutions, Inc., International Medical Innovations, EquipMd/Neoforma, United Airlines, and Purolator Courier LTD. Mr. Capsuto’s background, with private and publicly held companies, includes start-ups, high growth, restructuring, turnarounds and bankruptcies. Mr. Capsuto is the Chairman of the Board of Directors of CCLM Holdings, Inc. and, also, a member of the Board of Directors of QualServ Corporation (Audit Committee Chair). Mr. Capsuto received a Bachelor of Science, Computer Science and Math degree from the University of Illinois – Chicago and a MBA from Roosevelt University – Chicago.

Brandt F. McKee Mr. McKee is Managing Director of Centerbridge's Operating Group. Prior to joining Centerbridge, between 2005 and 2008, Mr. McKee was a member of TPG Capital's Operating Group. Between 2001 and 2005, Mr. McKee worked at AlixPartners, LLC, where he focused on middle market turnarounds and large company performance improvement. From 1999 to 2001, Mr. McKee served as Senior Director of Operations for Snapfish.com, an online photo retailer. Prior to business school, Mr. McKee served four years as a Cryptologic Officer in the United States Navy, winning a Navy Commendation and two Navy Achievement medals. Mr. McKee received his M.B.A. with distinction from Harvard Business School and a B.S.E. in Economics (Finance), summa cum laude, from The Wharton School of the University of Pennsylvania.

David N. Smith, Jr. Mr. Smith is a Managing Director of MAK Capital, a New York-based hedge fund with a long-term investment perspective. Prior to MAK Capital, Mr. Smith worked as an equity analyst with Hambletonian Partners, and as a banker with JP Morgan Chase (Chase Manhattan), the Sumitomo Bank, and Mellon Financial Corp. He is a graduate of the Wharton School of the University of Pennsylvania and of Columbia Business School. Mr. Smith is also a CFA charterholder.
